Nowadays not only do we rely on our commercial and sales staff to hit that bottom line but we expect our engineers and project teams to play their part too - not only through their engineering and management skills but by behaving in a commercially minded way in their dealings with their counterparts in customer or supplier organisations. This means understanding, amongst other things, the issues surrounding the commencement of work ahead of contract, having a clear contract baseline, recognising the broader implications of contract change, the need for timeliness and the consequences of failing to meet the contracted timetable. This practical one-day programme has been designed specifically to give engineers, project staff and others just that understanding. The course is designed principally to provide engineers and project staff with an appreciation of contractual obligations, liabilities, rights and remedies so that they understand the implications of their actions. It is also suitable for business development staff who are negotiating contracts on behalf of the business. The main focus of the day is on creating an awareness of when a situation may have commercial implications that would harm an organisation's business interests if not recognised and handled appropriately and how taking a positive but more commercial approach to those situations can lead to a more positive outcome for the business. As well as providing an understanding of the commercial imperatives the day also focuses on specific areas affecting engineers and project staff, such as the recognition and management of change, the risks when working outside the contract and managing delays in contracts. The course identifies the different remedies that may apply according to the reasons for the delay and provides some thoughts on pushing back should such situations arise. On completion of this programme the participants will: appreciate the need for contractual controls and will have a better understanding of their relevance and how they can be applied, particularly the issues of starting work ahead of contract, implementing changes and inadvertently creating a binding contract by their behaviour; have gained an understanding of the terminology and procedural issues pertaining to contracting within a programme; and be more commercially aware and better equipped for their roles. 1 Basic contract law - bidding and contract formation Purpose of a contract Contract formation - the key elements required to create a legally binding agreement Completeness and enforceability Express and implied terms Conditions v warranties The use of, and issues arising from, standard forms of sale and purchase Use of 'subject to contract' Letters of intent Authority to commit 2 Change management Recognising changes to a contracted requirement Pricing change Implementation and management of change 3 Key contracting terms and conditions By the end of this module participants will be able to identify the key principles associated with: Pricing Getting paid and retaining payment Cashflow Delivery and acceptance Programme delaysExamining some reasons for non-performance...Customer failureContractor's failureNo fault delays ... and the consequences of non-performance: Damages claimsLiquidated damagesForce majeureContinued performance Waiver clauses and recent case law Use of best/reasonable endeavours Contract termination 4 Warranties, indemnities and liability Express and implied warranties Limiting liability 5 Protection of information Forms of intellectual property Background/foreground intellectual property Marking intellectual property Intellectual property rights Copyright Software Confidentiality agreements Internet

About this Training Course This is a 2 full-day course that is aimed at providing professionals in the Oil & Gas business with a comprehensive set of core negotiating skills. Negotiations take place in many situations e.g. between peers, manager and subordinate, company and trade unions, company and government. The skills learnt on this course will be useful in all of these situations. However, this course puts a focus on the skills needed in commercial negotiations. A particular emphasis is placed on the relationship and negotiations typically carried out between client and contractor, vendor or the provider of services. A mixture of theory, examples and practical exercises are used so that the participants understand the principles and get an opportunity to try them out. The case studies used are real cases encountered in the Oil & Gas industry. Training Objectives Many technical experts find it difficult to move out of their expertise areas and deal with commercial matters. Negotiating to optimise business value is a step further from their comfort zones. All too often negotiations are then left to finance personnel. They bring many strengths to the table but an understanding of engineering trade-offs is not one of them. By the end of this course, the participants will add to their technical know-how a core competence in negotiation skills. They will thus become formidable negotiating opponents. Target Audience The course is intended for middle-managers and technical and other staff who are responsible for contracts, but with limited previous exposure to negotiations, and who will need these skills in the near future. About this training Mature fields differ from green field developments in that major infrastructure is in place, static reservoir data has accumulated from development drilling and a growing volume of production and processing performance data has become available. Decisions therefore relate to incremental projects, which may be small in scope and are often economically marginal. A firm understanding of the technical fundamentals associated with reservoir, wells and surface facilities is therefore required to make quality decisions in this environment, supported by realistic uncertainty ranges, and consistent application of incremental project economics and risk analysis. Various strategies may be considered to manage the mature asset, from harvest to divest, and the selected incremental activities should support a clear chosen strategy. Training Objectives Upon completion of this course, participants will be able to: Characterize the overall challenges associated with mature field developments Evaluate critical insights from subsurface data and apply this to modelling options and recovery methods Assess associated well data, typical late life issues and drilling and completion options for mature developments Manage the role of risk and uncertainty when making mature field development planning decisions Prepare a strategy and implementation plan Target Audience The course is intended for individuals who play a part in evaluating, screening and maturing oil and gas field development opportunities. The following personnel will benefit from the knowledge shared in this course: Petroleum engineers Geoscientist Facilities engineers Commercial staffs Reservoir engineer Production engineer Drilling engineer Project manager Asset manager Field engineer Exploration manager Course Level Basic or Foundation Trainer Your expert course leader, boasts nearly four decades of experience in the upstream oil & gas industry. He began his career in the back in 1982, spending 13 years with Shell International across several global locations. During his tenure, he served primarily as a reservoir engineer, contributing to exploration prospect evaluation, field development planning, corporate business planning, and drilling operations. Throughout his career, he has executed a diverse range of reservoir engineering projects for multiple UK and international firms, and has successfully led several PE study teams. Furthermore, he has continuously provided reservoir engineering and commercial training to oil company staff on a national and international scale.
