Course Overview
The Cyprus Companies Law, Cap. 113 was based on the provisions of the English Companies Act 1948, eroded by the influence of EU law since 2004 accession and on-going harmonization and modernisation in some of its sections. It includes a wide range of provisions covering the incorporation, functioning, administration, reorganisation and dissolution of Cyprus companies. Many Cyprus companies adopt partly or wholly the model Regulations contained in the First Schedule of the Companies Law, Cap. 113 (Table A).
This programme is built on more than 15 years of day-to-day experience with junior and senior corporate lawyers and corporate administrators and focuses in understanding the basic theory behind practice and filings with the Registrar of Companies, with regard to the formation and alterations of particulars in Cyprus companies.
Participants shall acquire a solid understanding of the main types of Cyprus companies with emphasis on private limited liability by shares companies, the relationship between members and officers and their respective powers and exposures, the nature and types of the share capital, the meetings of Directors’ and Shareholders’ Meetings and their respective Resolutions. Answers to questions from day-to-day practice will be given, through practical examples HE forms will be completed.

Training Style
The training techniques are lecture, discussion, questions - answers, brainstorming and practice. The specific techniques are suitable for the nature of the subject of the seminar, the educational style of the trainer and the learning outcomes. Explanation of the necessary theory behind practice shall be made and progresses with a focus on the documents and procedures. Electronic material and hard copies shall be delivered to participants.
Knowledge Test
At the completion of the knowledge areas, participants will be assessed via the form of Multiple-Choice Questions which will consist of questions related to the material taught. The aim of the assessment is to examine participants' overall attention and knowledge of material taught as well as their competencies towards the implementation of practical cases.
CPD Recognition
This programme may be approved for up to 28 CPD units in Law and Corporate Administration. Eligibility criteria and CPD Units are verified directly by your association, regulator or other bodies which you hold membership.

Mary-Olive McCluskey
Mary-Olive McCluskey is a practicing advocate, member of the Cyprus Bar Association since 2006 and a trained and approved by HRDA professional trainer. She has acquired in depth experience in company law and corporate administration and she is registered with the registry of licensed Insolvency Practitioners and CySEC certified persons (advanced). Mary-Olive is an active member of the Shipping and Aviation Committee of the Cyprus Bar Association and she is providing since 2021 independent legal services to the Safety Regulation Unit of the Cyprus Department of Civil Aviation. As of September 2023, Mary – Olive is a PhD student with the University of Cyprus in the field of International Aviation Law and the implementation of the Cape Town Convention and Aircraft Protocol by the Republic of Cyprus.
Marios Mortis
Marios Mortis holds a Bachelor's degree in Business Administration with a focus on Accounting, as well as a Master's degree in Banking and Finance. He is a qualified member of the Association of Certified Chartered Accountants (ACCA). Marios has accumulated valuable experience working in various positions and companies within Cyprus's accounting, audit, advisory, assurance, and banking sectors. In the past seven years, Marios has embarked on a new and fulfilling career path in the field of education, which he finds both challenging and fascinating. He served as a Visitor Academic at a local university in Cyprus, where he taught several courses, including corporate governance and business ethics, corporate finance, corporate risk management, and audit and assurance. Currently, Marios holds the position of Trainer and Accountancy Programmes Leader at EIMF (European Institute of Management and Finance). In this role, he oversees the management of both professional and academic accounting and finance programmes. Marios has successfully designed and delivered professional training courses covering topics such as corporate reporting, tax, AML (Anti-Money Laundering), funds, forensic accounting, financial analysis, auditing, and financial workshops. Furthermore, Marios is entrusted with leading the Department of Accounting & Finance within EIMF's Academic School. He actively engages in research within the domains of finance and accounting, contributing to both academic and professional endeavors in these fields.
